Corporate Paralegal

The Transactional Paralegal is responsible for providing clerical and research support services to the transactional attorney group to enhance the efficiency and production of the practice group. 

Duties & Responsibilities:

  • Meets with attorneys to discuss assigned cases and projects. 
  • Drafts legal documents including, but not limited to: Articles, Amendments, Change of address, Minutes, Bylaws, Dissolution, Certificates, Agreements, Reinstatements
  • SDAT Filings in MD and Qualifications in other states
  • SDAT status checks (other states checks as well)
  • Obtain good standings
  • Obtain copies of charter documents
  • Lien searches, UCC searches, litigation searches
  • Prepare and file UCC’s
  • Assist with closings and prepare related documents such as schedules, certificates, disclosures, etc.
  • Obtain EIN’s
  • Maryland Combined Registration Applications
  • Prepare Stock certificates
  • Maintain stock ledgers
  • Prepare Annual Minutes
  • Maintain Minute Books
  • Prepare closing binders
  • Land Records searches
  • SDAT Property Records and Business Records searches
  • Preparing and filing deeds and other land records filings
  • Audit Responses (aka Attorney Confirmation responses)
  • Notice of wage garnishments
  • Prepare annual reports/Personal Property Returns
  • Setup and manage data rooms
  • Trademark searches and search summary reports
  • Trademark Application preparation and filing
  • Office Action Responses- drafting and filing
  • Co-existence agreements- drafting and filing
  • Calendaring deadlines
  • Filing renewals
  • Filing statements of use or extensions of time
  • Drafting and Filing Assignments
  • Copyright application preparation and filing
  • Patent searches
  • Domain name searches
  • Other miscellaneous tasks, as requested

Required Skills & Abilities:

  • Excellent verbal and written communication skills
  • Understanding of legal language and principles, research methods, court pleadings and processes, and other related matters.
  • Excellent interpersonal and customer service skills.
  • Excellent organizational skills and attention to detail. 
  • Excellent time management skills with a proven ability to meet deadlines.

 

Education & Experience:

 

  • Associate degree in Paralegal Studies or related field required; Bachelors degree in Paralegal Studies or related field preferred.
  • At least 3 years of previous law firm experience preferred.
